Terms of Service

By accessing or using this website, registering for the Digital Biz Lab, or engaging Bezalel Media Concepts Ltd ("Bezalel", "we", "us") for any service, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, please do not use our website or services.

We provide media production, AI solutions and consulting, website development, branding and identity, digital marketing, and business training programs including the Digital Biz Lab. The exact scope, deliverables, timeline and fees for each engagement are defined in a separate written proposal or statement of work ("SOW") signed by both parties, which together with these Terms forms the full agreement.

You must be at least 18 years old and able to enter a binding contract to use our services. If you are using our services on behalf of an organisation, you confirm you are authorised to bind that organisation to these Terms.

• Provide accurate, complete information and timely feedback.
• Supply necessary assets, approvals and access in line with the project timeline.
• Ensure that any materials you supply do not infringe third-party rights.
• Designate a primary point of contact authorised to make decisions.

Fees are agreed in the proposal or SOW. Unless stated otherwise, projects require a deposit before work begins, with the balance billed at agreed milestones. Invoices are payable within 7 days unless a different term is agreed. Late payments may incur a service-pause and a late fee of 1.5% per month on outstanding amounts. All fees are exclusive of applicable taxes.

Any change to scope, timeline or deliverables must be agreed in writing and may affect fees and dates. Each deliverable typically includes two rounds of revisions; additional rounds are billable at our standard rate.

• All website content (text, graphics, logos, code, designs) is owned by Bezalel or licensed to us, and protected by applicable IP laws.
• On full payment, ownership of project-specific deliverables (final designs, code, copy) transfers to the client, except for our pre-existing IP, third-party assets and tools, which remain ours or our licensors' and are licensed for the agreed purpose.
• We retain the right to display completed work in our portfolio and marketing materials unless agreed otherwise in writing.

Course materials, recordings and templates provided as part of any Bezalel training program (including the Digital Biz Lab) are licensed to you for personal use only. You may not reproduce, redistribute, resell or publicly share them. Cohort fees are non-refundable once the program has started, except where required by law.

Each party agrees to keep confidential any non-public information shared during an engagement and to use it solely to perform the agreement. Confidentiality survives for 3 years after the engagement ends.

We will perform services with reasonable skill and care. To the maximum extent permitted by law, our website and content are provided "as is" without warranties of any kind. We do not guarantee specific business outcomes such as revenue, ranking, conversion or audience growth.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to an engagement shall not exceed the fees paid by the client to Bezalel for the specific service giving rise to the claim in the 6 months preceding the event. We are not liable for indirect, incidental, special or consequential damages including lost profits, revenue, data or goodwill.

Either party may terminate an engagement for material breach if the breach is not remedied within 14 days of written notice. On termination, the client pays for all work performed up to the termination date. Either party may also terminate for convenience subject to the notice terms in the SOW.

Projects may include third-party tools, plugins, APIs or hosting services. Their use is governed by their respective terms and licenses. We are not responsible for the availability, performance or pricing changes of third-party services.

You agree not to misuse this website — including attempting to gain unauthorised access, transmitting malware, scraping at high volume, or using the site to defame or harass others.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute that cannot be resolved amicably within 30 days shall be referred to the courts of competent jurisdiction in Abuja, FCT.

We may update these Terms from time to time. The updated version will be posted on this page with a new "Last updated" date. Continued use of the website or services constitutes acceptance of the revised Terms.
